These Terms and Conditions (“Agreement”) govern your participation in the Partnership Program (“Program”) administered by Wisdom for Goldfish Ltd (“Administrator”) for promoting ‘To The Moon: A Short But Mighty Guide to Successful Personal Goal Setting’ (the “Book”). By applying to or participating in the Program, you agree to the following:
1. Eligibility
1.1. Participants must:
- Have at least 10,000 followers on Instagram or TikTok.
- Regularly create and share content related to fitness or career goals.
- Reside in the United Kingdom and provide a valid UK address to receive the Book.
- Have a UK bank account to receive royalty payments.
1.2. The Program is limited to 12 participants per year. Selection is at the sole discretion of the Administrator.
1.3. Participants may not transfer or assign their participation rights to any other individual or entity.
2. Participation Requirements
2.1. If selected, the Administrator will provide the Participant with one free paperback copy of the Book for review and promotion.
2.2. Participants are required to:
- Post a video or image featuring the Book, along with their honest opinion, on the agreed-upon launch date.
- Ensure that the post remains live on their platform for the duration of the 7-day royalty-tracking period.
2.3. Participants are not obligated to post if they do not like the Book, but failure to post will terminate a Participant’s involvement in the Program and they therefore forfeit their payment.
2.4. The content of the post must comply with the social media platform’s guidelines and all applicable advertising regulations.
3. Royalties and Payments
3.1. Participants will earn 80% of all paid out royalties generated from Book sales attributed to their promotional activity during the 7-day period starting from the agreed-upon launch date.
3.2. Royalties will be calculated after accounting for returns, refunds, and chargebacks.
3.3. Payments will be made via bank transfer to UK bank accounts only (in GBP) within 30 days of receiving the royalty payout from the respective marketplaces.
3.4. Participants must issue a valid invoice for the confirmed amount before payment is made.
3.5. Participants are allowed to use paid promotion methods, but in no circumstance is the Administrator responsible for reimbursing the costs associated.
3.6. The Administrator is not responsible for any discrepancies in royalty tracking or delays in royalty payments caused by third-party vendors or platforms.
4. Termination
4.1. The Administrator reserves the right to terminate a Participant’s involvement in the Program at any time, for any reason, including but not limited to:
- Breach of these Terms and Conditions.
- Misrepresentation of the Book or the Program.
- Engagement in fraudulent or unethical behavior.
4.2. Upon termination, the Participant forfeits any unpaid royalties, unless otherwise agreed in writing.
5. Limitation of Liability
5.1. The Administrator is not liable for:
- Lost, delayed, or miscalculated royalties resulting from platform errors or external factors.
- Any disputes between the Participant and third parties, including social media platforms.
- Content removal or account suspension by the Participant’s social media platform.
5.2. Participation in the Program is voluntary, and Participants assume full responsibility for any consequences arising from their promotional activities.
6. Intellectual Property
6.1. All intellectual property rights to the Book remain with the Administrator.
6.2. Participants may only use the Book’s name, images, and promotional materials as provided by the Administrator and solely for the purpose of participating in the Program.
6.3. Unauthorized use of the Book or associated materials is strictly prohibited.
7. Governing Law
7.1. This Agreement is governed by and construed in accordance with the laws of England and Wales.
7.2. Any disputes arising from or related to this Agreement will be subject to the exclusive jurisdiction of the courts of England and Wales.
8. Amendments
8.1. The Administrator reserves the right to modify or terminate the Program or these Terms and Conditions at any time without prior notice.
8.2. Continued participation in the Program after such modifications constitutes acceptance of the updated Terms and Conditions.
